DHH acquires Teknonet and enters in the MSP market

Milan, 16 April 2025. DHH S.p.A. (DHH.MI) (ISIN shares IT0005203622) announces to have completed today the acquisition of 60% of Teknonet Srl (“Teknonet”).

Founded in 2005 and headquartered in Monteprandone (Ascoli Piceno), Teknonet (www.teknonet.it) is a Managed Service Provider. A Managed Service Provider (MSP) is a B2B company that remotely manages the customers IT infrastructure and connectivity on a proactive basis, typically under a subscription model.

Led by CEO Luigi Carboni, the company closed 2024 with €4,2 million in revenue from sales (vs to €3,6 million in 2023), €922.783 in EBITDA (vs €797.936 in 2023), and €643.046 in net profit (vs €500.279 in 2023). Operating cash flow reached €1,0 million, with almost no financial debt and €1,8 million in net cash.

Today DHH completed the first step of the transaction, the purchase of the first stake of 60% of the share capital of Teknonet, and signed shareholders’ agreements through which it acquired the option right to purchase an additional 40% of the share capital within 90 days from the approval of the financial statements for the year 2026.

The total value of the operation amounted to €5,6 million, including the costs related to the transaction. The purchase price for the acquisition of 60% has been paid entirely in cash throught a credit line with a primary bank institution. The results of Teknonet will be fully consolidated in DHH’s financial statements starting from April 2025.
